1. Acceptance
By downloading, installing, accessing, purchasing, subscribing to, or using any mobile application or related service published by Meezyo LLC, including Onit, our to-do, planning, and notes application, you agree to these Terms. If you do not agree, do not use the relevant app or service.
These Terms apply together with our Privacy Policy, any purchase terms shown in the app or app store purchase flow, and any feature-specific notices shown in the relevant app.
2. The Service
Our mobile applications may provide utilities, productivity tools, entertainment features, content creation, AI-assisted generation, editing, analysis, scoring, recommendations, document creation, uploaded content processing, saved history, exports, subscriptions, credits, coins, premium access, and other digital features.
Onit specifically provides a to-do list and inbox, a calendar view, a notes area, reminders, optional synchronization with a calendar or reminder account you connect, and optional AI features that help you turn what you say, type, photograph, or upload into structured tasks, and that work inside a task to produce outputs such as summaries, checklists, drafts, study notes, quizzes, and flashcards. The manual to-do, calendar, notes, and reminder features do not require AI processing or a connected account.
The exact features depend on the relevant app, platform, region, version, settings, and products available at the time. We may update, improve, modify, suspend, limit, or discontinue any part of an app or service, subject to applicable law and app store rules.
3. Eligibility
You must be at least 13 years old to use our mobile applications. If the law in your location requires a higher minimum age for digital services, you must meet that higher age requirement. If you are under the age of majority in your location, you may use the relevant app only with permission from a parent or legal guardian.
You may not use our apps if you are legally prohibited from doing so or if your access has been suspended or terminated under these Terms.
4. Accounts and App Access
Some apps may use anonymous authentication, app-based identifiers, device-linked profiles, or account-based authentication to connect saved content, purchases, subscriptions, credits, coins, settings, readings, ratings, generated outputs, and entitlements to your app profile.
You are responsible for keeping your device, account, credentials, and app session secure. Activity from your app profile, device, or account may be treated as your activity. Notify us if you believe your account or app profile has been compromised. If you delete the app, change devices, or reset device data, you may lose access to local app state unless purchase restore or account recovery is available.
Where an app supports account creation, you can delete your account and its associated content from inside the app. Deletion is described in our Privacy Policy.
5. User Content
"User Content" means information, text, prompts, tasks, steps, lists, reminders, notes, calendar entries you create, images, photos, files, documents, audio you record, transcripts, profile details, professional history, education history, skills, achievements, personal notes, preferences, dream descriptions, partner details, feedback, support messages, uploads, edits, saved items, generated outputs, and other material you submit, create, upload, import, save, or process through an app.
You keep ownership of your User Content. You grant Meezyo LLC a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, format, display, transmit, analyze, and create outputs from User Content as reasonably necessary to:
- Provide, operate, secure, and improve the relevant app.
- Generate, analyze, edit, summarize, classify, export, or display content requested by you.
- Maintain saved content, app history, account state, purchases, subscriptions, credits, coins, and entitlements.
- Provide support and troubleshoot technical issues.
- Prevent fraud, abuse, security incidents, and misuse.
- Comply with legal obligations and enforce these Terms.
This license exists only to run the service for you. It does not permit us to sell your User Content, to use it for advertising, or to use it to train generalized artificial intelligence or machine learning models. It ends for a given item when you delete that item, subject to routine backup cycles and any retention we are legally required to maintain.
5.1 Content about other people
Your tasks, notes, attachments, and connected calendar events may contain information about other people. You represent that you have the rights and permissions needed to submit that information, including permission from any person whose image, information, voice, likeness, or personal data you submit, and that doing so does not breach any duty you owe to another person or organization.
5.2 Confidential and employer material
Do not upload or enter material that you are not permitted to share or process — for example material subject to a confidentiality agreement, an employer's information-security policy, a client engagement, an academic integrity rule, or a legal restriction. You are responsible for deciding what is appropriate to put into the app.
5.3 Prohibited content
Do not submit unlawful, infringing, exploitative, non-consensual, or harmful content.
6. AI and Generated Results
Some apps may use automated systems, artificial intelligence, or machine learning providers to generate, analyze, edit, classify, summarize, translate, format, score, rate, or recommend content.
AI features are optional. In Onit, you can create, edit, complete, and organize tasks, use the calendar view, write notes, and set reminders without any AI processing. Before your content is sent to a third-party AI provider for the first time, the app tells you what will be sent and who will receive it, and asks for your permission. You can withdraw that permission at any time in settings.
Generated results may be inaccurate, incomplete, outdated, generic, subjective, repetitive, unexpected, or unsuitable for your circumstances. Results may vary based on user input, document quality, audio quality, photo quality, lighting, angle, device state, model behavior, service availability, and other factors. You are responsible for reviewing, editing, verifying, and deciding whether to use or share generated results. A draft is a draft: review anything Onit writes before you send, submit, publish, or rely on it. We do not guarantee any specific output, score, result, outcome, improvement, ranking, decision, benefit, future event, relationship result, appearance result, career result, employment result, or technical diagnosis.
6.1 Actions the AI takes inside the app
Onit's AI may propose or carry out changes inside the app — for example proposing a task, adding a step, setting a reminder, adjusting a time, or creating a calendar event on a calendar you connected. Where an action changes your data, the app shows it to you for confirmation or makes it reviewable and reversible. You remain responsible for what stays in your list and on your calendar. Check any proposal before accepting it.
6.2 Content that manipulates the AI
Material you add — including uploaded documents, event text, and content retrieved from the web — may contain hidden instructions intended to make an AI system behave in a way you did not ask for. We apply controls designed to reduce this risk, but no control is perfect. Do not deliberately submit content designed to manipulate the app's AI, and review actions before confirming them.
7. Reminders, Notifications, and Scheduling
Reminders, alarms, notifications, calendar entries, and scheduling suggestions are convenience features. They depend on your device, your operating system settings, your notification permissions, battery and power-saving settings, network availability, app store and platform behavior, connected-account availability, and other factors outside our control. We do not guarantee that any reminder, alarm, notification, or synchronized event will be delivered, delivered on time, or delivered at all.
Do not rely on Onit as your only reminder for anything where a missed or late reminder could cause harm, loss, or a serious consequence. This includes, without limitation: taking medication; medical, dental, or therapy appointments; childcare pickup or supervision; court dates, legal deadlines, and filing deadlines; visa, immigration, or licensing deadlines; tax or payment deadlines; travel, flights, and check-in times; examinations; safety inspections; and workplace obligations. For anything in that category, keep an independent reminder.
Onit is not a medical device, a medication-adherence system, a clinical tool, an emergency service, or a safety-critical system, and it must not be used as one.
8. No Professional Advice
Our apps and generated outputs do not provide medical, mental health, legal, financial, tax, investment, immigration, safety, emergency, employment, career counseling, human resources, cosmetic, fitness, nutrition, religious, spiritual, device-repair, educational assessment, or other professional advice. Study materials, summaries, quizzes, and similar outputs are study aids, not authoritative sources, and may contain errors. You are responsible for your own decisions. For professional or emergency matters, contact a qualified professional, authorized service provider, or the appropriate emergency service.
9. Connected Accounts and Google Services
Some apps let you connect a third-party account so that the app can display or update information you already keep there. In Onit, this includes optional calendar and reminder synchronization.
- Connecting is optional and off by default. Onit works without any connected account, and you are never required to sign in with a third-party account to create an Onit profile or to use the app.
- You authorize the access. When you connect an account, you authorize the app to access the specific data described in the in-app notice and in our Privacy Policy, for the purposes described there.
- You control it. You can disconnect at any time in the app's settings, and you can revoke access directly with the provider. For a Google Account, you can revoke access at myaccount.google.com/permissions.
- You must have the right to connect it. You represent that you are entitled to connect the account and to have its contents processed as described, including where the account is provided by an employer, a school, or another organization, and including with respect to other people whose information appears in it.
- The provider's terms still apply. Your relationship with the account provider is governed by that provider's own terms and privacy policy.
Onit's use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements. The use of information received from Google Workspace scopes will adhere to the Google User Data Policy, including the Limited Use requirements. Section 5 of our Privacy Policy describes in detail what Google data Onit accesses, how it is used, how it is stored, how it is shared, and how it is deleted.
Events that the app created in your connected calendar at your request remain in that calendar after you disconnect, because they belong to you. You can delete them with the provider.
10. Acceptable Use
You agree not to:
- Use an app for unlawful, fraudulent, deceptive, harmful, abusive, harassing, exploitative, or unsafe purposes.
- Submit content that violates law, privacy rights, publicity rights, intellectual property rights, confidentiality duties, or the rights of another person or organization.
- Submit images, information, or other content about another person without appropriate permission.
- Use an app to monitor, track, surveil, profile, or build a record about another person without that person's knowledge and consent, including by connecting an account that is not yours or by recording another person without permission.
- Submit sexual, exploitative, abusive, or harmful content involving minors, non-consenting persons, illegal material, harassment, exploitation, or abuse.
- Impersonate another person or misrepresent your identity, qualifications, work history, education, licenses, achievements, purchase status, generated results, or relationship to Meezyo LLC.
- Reverse engineer, decompile, disassemble, scrape, crawl, copy, extract, resell, sublicense, rent, or commercially exploit an app or service except where law expressly allows it.
- Bypass paywalls, subscription controls, entitlement checks, credit or coin systems, usage limits, rate limits, security features, app store billing systems, or refund systems.
- Use bots, scripts, automation, or excessive requests to overload, abuse, or disrupt an app, backend, API, provider, account, or network.
- Attempt to manipulate the app's AI through hidden instructions, prompt injection, or similar techniques, including to make it disclose information, bypass safety controls, or take actions the user did not request.
- Use an app or its outputs to extract, retain, or redistribute data obtained from a connected third-party service beyond the use the provider's terms allow.
- Introduce malware, malicious files, vulnerabilities, or harmful code.
- Use unauthorized extraction of app content, outputs, templates, or system behavior to develop competing models, products, or services.
We may remove content, deny requests, restrict features, suspend access, revoke entitlements, adjust balances, or terminate access if we reasonably believe these Terms have been violated or there is risk to users, app stores, service providers, third parties, or Meezyo LLC.
11. Purchases, Subscriptions, Credits, and Coins
Some apps may offer paid features, subscriptions, premium access, one-time purchases, consumable credits or coins, free trials, discounts, rewards, promotional credits, or other digital products. Products, prices, billing periods, included benefits, renewal terms, free trial terms, renewal behavior, cancellation information, and eligibility are shown in the app, app store purchase sheet, or product listing before purchase.
In Onit, creating, editing, organizing, and completing to-dos manually, viewing your calendar, writing notes, and setting reminders are free and are not limited by a paid plan. The paid plan unlocks the AI features. Current plan names, prices, and billing periods are shown in the app and in the app store purchase sheet before you buy.
- Purchases made through the Apple App Store or Google Play are processed by the relevant store and are subject to that store's terms, payment rules, refund rules, subscription rules, and account settings.
- Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period, or before any other renewal deadline shown by the relevant store. Your account is charged for renewal within 24 hours prior to the end of the current period. Deleting an app does not automatically cancel a subscription.
- You can manage or cancel store subscriptions through your Apple App Store or Google Play account settings, as applicable. We cannot guarantee that a cancellation request sent only to us will stop app store billing.
- Credits, coins, or similar digital items have no cash value, are not legal tender, are not transferable outside the relevant app, and may be used only for eligible in-app features unless applicable law or store policy requires otherwise.
- Purchase restore may be available where supported by the app store and the app. Restore availability can depend on the store account, platform, app profile, product type, and entitlement records.
- We may change paid offerings, pricing, product names, limits, credit or coin costs, benefits, supported languages, features, backend configuration, providers, and availability. Changes do not affect purchases already completed except as permitted by law, app store rules, refund handling, fraud prevention, technical correction, or the purchase terms shown at the time of purchase.
12. Refunds
Refund requests for purchases made through the Apple App Store or Google Play are generally handled by the relevant store according to its policies and procedures. We may provide support, entitlement troubleshooting, purchase evidence, credit or coin usage records, and fraud-prevention information, but we do not control final refund decisions for purchases processed by Apple or Google.
If a refund is granted, we may revoke or adjust the related subscription, premium access, credits, coins, generated request, entitlement, saved feature access, or other paid benefit where technically and legally permitted. Except where required by law or app store policy, digital purchases, consumed credits or coins, generated results, completed analysis requests, and completed document actions may be non-refundable.
13. App Store and Google Play Terms
13.1 Apple App Store
The following applies to apps you obtain from the Apple App Store.
- Parties. These Terms are between you and Meezyo LLC only, not with Apple. Meezyo LLC, not Apple, is solely responsible for the app and its content.
- Scope of licence. The licence granted to you for the app is a non-transferable licence to use the app on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
- Maintenance and support. Meezyo LLC is solely responsible for providing maintenance and support for the app. Apple has no obligation to furnish any maintenance and support services.
- Warranty. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the app. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Meezyo LLC.
- Product claims. Meezyo LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
- Intellectual property claims. In the event of any third-party claim that the app or your possession and use of the app infringes that third party's intellectual property rights, Meezyo LLC, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of that claim.
- Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.
- Contact. Questions, complaints, and claims about the app should be directed to [email protected].
13.2 Google Play
If you download an app from Google Play, your use of the app must also comply with applicable Google Play terms and policies. For Play-distributed apps, in-app purchases of digital content and services must use Google Play billing unless an exception applies under Google Play policy.
14. Privacy and Deletion
Your use of our apps is also governed by our Privacy Policy, which explains how information is collected, used, shared, retained, and deleted. Privacy Policy: https://meezyo.com/privacy.
You may delete your account and its associated content from inside the app, and you may also request deletion as described in the Privacy Policy. Some information may be retained where necessary for legal, accounting, fraud prevention, refund handling, dispute resolution, purchase validation, app store compliance, or security purposes. Deleting an app may not delete backend data, cancel subscriptions, or remove purchase records.
15. Intellectual Property
Our apps and services, including software, design, interfaces, workflows, templates, graphics, logos, branding, text, code, documentation, features, generated-service infrastructure, and service systems, are owned by Meezyo LLC or its licensors and are protected by intellectual property and other laws.
Except for the limited rights expressly granted in these Terms, we do not grant you ownership or any license in our apps or services. You may use generated outputs for lawful personal or professional purposes, subject to these Terms, applicable law, any third-party rights, and the terms of the AI providers involved in producing them. You are responsible for ensuring that final content is truthful, lawful, appropriate for its intended use, and does not infringe others' rights. Similar or identical outputs may be generated for other users.
16. Feedback
If you send suggestions, ideas, bug reports, reviews, or other feedback, you allow Meezyo LLC to use them without restriction or compensation, unless otherwise agreed in writing.
17. Third-Party Services
Our apps may integrate with or depend on third-party services, including app stores, payment processors, purchase management tools, authentication providers, connected calendar and reminder providers, analytics providers, crash reporting tools, cloud hosting, storage, AI and speech-to-text processing, advertising, attribution, monitoring, security, configuration, and support services.
Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services that we do not control, and we do not guarantee their availability, accuracy, security, or performance. Where a third party processes personal information on our behalf, we require it by written agreement to provide protections the same as or equal to those in our Privacy Policy.
18. Availability and Changes
We aim to provide reliable apps, but we do not guarantee that any app, feature, backend service, AI provider, connected account, calendar synchronization, reminder delivery, purchase system, generated output, saved history, uploaded content, credit or coin balance, or entitlement will be uninterrupted, error-free, secure, compatible with all devices or regions, or available at all times.
Apps may be unavailable or changed because of maintenance, updates, force updates, network problems, provider outages, changes to third-party APIs or their policies, app store issues, security incidents, legal requirements, compatibility changes, discontinued features, or events outside our control. Some older app versions may stop working for security, compatibility, legal, store compliance, or service reliability reasons.
19. Termination
You may stop using an app at any time. We may suspend, limit, or terminate your access to an app or feature if we reasonably believe you violated these Terms, created legal, security, operational, financial, or reputational risk, abused purchases or refunds, misused generated outputs, infringed rights, or used the service in a harmful way.
Termination may affect access to app data, saved history, uploaded content, generated outputs, credits, coins, premium features, or other entitlements, except where applicable law or app store policy requires otherwise. Sections that by their nature should survive termination will continue to apply.
20. Disclaimers
To the maximum extent permitted by applicable law, our apps and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, compatibility, timely delivery of reminders or notifications, accuracy of calendar synchronization, and suitability of generated outputs for any specific use. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Meezyo LLC and its owners, officers, employees, contractors, partners, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost content, lost goodwill, lost opportunities, reputational harm, emotional distress, business interruption, purchase-related losses, missed appointments or deadlines, undelivered or late reminders, or decisions made based on app outputs.
To the maximum extent permitted by applicable law, our total liability for any claim related to an app, service, purchase, or these Terms will be limited to the greater of the amount you paid for the relevant app or service during the three months before the event giving rise to the claim or USD 50. Some jurisdictions do not allow certain liability limits, so some limits may not apply to you.
22. Indemnity
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Meezyo LLC and its owners, officers, employees, contractors, partners, service providers, and licensors from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use or misuse of an app, your User Content, any account you connect, your violation of these Terms, your violation of law or third-party rights, your fraud or misrepresentation, or your misuse of purchases, refunds, subscriptions, credits, coins, or app access.
23. Applicable Terms and Rights
These Terms apply to the maximum extent permitted by applicable law. Nothing in these Terms limits rights you may have under mandatory consumer protection, privacy, app store, or other laws that cannot be waived by contract.
Before starting a formal legal claim, you agree to contact us at [email protected] and try to resolve the dispute informally. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later.
24. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the Last updated date on this page. If changes are material, we may provide additional notice through the relevant app, store listing, or other reasonable channel.
Your continued use of an app after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the relevant app or service.
